NorthStar Gaming Secures Record Investment and Credit Support
NorthStar Gaming has recently made a significant announcement regarding its financial situation. The company revealed that it has successfully secured a significant investment and additional credit support, marking it as the largest financing in NorthStar’s history.
The Record-Breaking Investment
NorthStar Gaming shared that they have entered into a credit agreement to secure a CAD 43.4 million ($30 million) senior secured first lien term loan facility. This credit facility is subject to final approval from the TSX Venture Exchange and will be provided by Beach Point Capital Management.
Additionally, Playtech and some of its subsidiaries have agreed to provide credit support for certain obligations under the facility. The credit facility comes with a SOFR + 9.35% interest rate and a SOFR floor of 4.40%. The amortization payment has been deferred for the first 30 months, with NorthStar paying 2.5% of the principal amount per year until the 42nd month after the closing date, followed by 5% per year until the maturity date on January 24, 2030.
Purpose of the Credit Facility
NorthStar Gaming stated that the credit facility’s main purpose is to support its continued growth by strengthening its balance sheet. The funds will be used to repay a CAD 9.5 million principal amount loaned by Playtech, with an additional CAD 7 million channeled into an interest reserve account. The remaining funds will be utilized for working capital, general corporate purposes, and transaction costs related to the credit facility.
Playtech’s Role
NorthStar received a credit guarantee from Playtech, enabling the transaction to proceed smoothly. As part of the agreement, NorthStar issued 32,735,295 common share purchase warrants to Playtech, allowing them to purchase stock at CAD 0.055 per share, representing a premium of approximately 8.7% to the five-day volume-weighted average price of the shares as of January 24.
Playtech, being an insider of NorthStar Gaming, the issuance of the bonus warrants falls under a “related party transaction.”
